Terms of service

Effective date: · Last updated:

Who this covers

These Terms of Service govern your use of Distill, a Paperwork Labs LLC product available at distill.tax, and the firm account you use to access it. Distill is still in development; we are publishing these terms now so our practices are documented ahead of general availability. By using Distill, you agree to these terms.

What Distill does

Distill is a document-processing tool built for CPA and accounting firms. Your direct customer relationship with us is as a firm, not as the firm's underlying clients. Distill acts as a processor of the documents and data your firm gives it; your firm's own engagement with its clients, not these terms, governs the professional tax work itself.

Whether Distill's role fits a preparer-to-preparer exception under IRC Section 7216, and what disclosure or consent that requires, is an open question pending formal counsel conclusion. Nothing here states a final legal position on it.

Distill makes no substantive determinations and provides no advice affecting the tax liability reported by any taxpayer. Every extracted value and every draft requires review by the firm's preparer before use. The firm is the preparer of record, and its professional work is its own.

Accounts and acceptable use

You must be able to form a binding contract on behalf of your firm to create a Distill account. You agree to provide accurate account information and to keep your credentials confidential. You agree not to use Distill for an unlawful purpose, interfere with the service, attempt to access another firm's account or data, or probe its security without our written permission.

Fees and billing

Distill does not bill for the service today. If a paid tier launches, its pricing and billing terms will be described here and at the point of purchase before you are charged.

Intellectual property

Distill, including its software, design, and text, is owned by Paperwork Labs LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use Distill as intended. You retain ownership of the documents and data you upload; we have a limited license to host and process them to provide the service back to you.

Privacy

How we collect, use, and retain information in connection with Distill is described in our Privacy Policy. If you access Distill through your firm's account, a data request may need to go through your firm first.

Disclaimers and limitation of liability

Distill is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Paperwork Labs is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of Distill. Our total liability for any claim is limited to the amount you paid us for Distill in the twelve months before the claim, which is $0 while Distill has no paid tier.

Dispute resolution

Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may bring claims in small claims court. You agree to resolve disputes individually, not as part of a class action.

Termination

You may stop using Distill at any time. We may suspend or terminate your firm's access for violating these terms or to protect Distill, other firms, or third parties.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law provisions.

Changes to these terms

Because Distill is still in development, we expect these terms to change. If we make a material change, we will update this page and change the effective date above before the change takes effect.
